1. Definitions

“Nadhim” means the cloud ERP platform provided under the Nadhim / ناظم name. “IMEXUM” is the current operating company. “Customer” means the entity subscribed to or using the service. “Customer Data” means data, attachments, and documents entered by the customer or its users into the system.

2. Nature of the service

Nadhim is an ERP service based on ERPNext and extended for construction workflows. Depending on package and configuration, it may include project management, contracts, BOQ, cost codes, progress claims, invoices, variation orders, subcontract packages, payment certificates, retention, advances, VAT/ZATCA readiness, reports, and dashboards.

3. ERPNext and open-source components

ERPNext is a name and trademark owned by its respective owners and is used here descriptively only to identify the technical foundation. Nadhim is not an official ERPNext or Frappe product and does not claim endorsement or sponsorship by them. Open-source components are governed by their respective licenses, including GPLv3 obligations where applicable.

4. User accounts and permissions

The customer is responsible for selecting users, configuring permissions, protecting passwords, reviewing login logs, and disabling accounts when employees or contractors no longer require access. Personal accounts must not be shared or used outside approved permissions.

5. Customer data and ownership

Customer Data remains owned by the customer. The customer grants IMEXUM the right to process data only as needed to provide the service, support, maintenance, backups, and security improvements. Real customer data, rates, suppliers, or project information must not be included in marketing materials or a general product copy without written approval.

6. Customer responsibilities

• Enter accurate, current, and authorized data.
• Review company, tax, account, ZATCA, permission, and workflow settings before production use.
• Obtain accounting, tax, or legal advice where needed.
• Provide ZATCA/Fatoora or government portal credentials and approvals where integrations require them.
• Use the service only for lawful and legitimate business purposes.

7. Acceptable use restrictions

Nadhim must not be used to harm the service, attempt unauthorized access, upload malware, infringe third-party rights, process unauthorized data, or transmit unlawful content.

8. Tax and e-invoicing

Nadhim provides settings, templates, readiness checks, and integration paths that help manage VAT and ZATCA workflows. These features do not replace the customer’s legal responsibility or tax advice. Production readiness or official approval requires independent testing, documentation, and correct customer configuration.

9. Availability and support

Service levels, support, backups, and maintenance should be defined in the subscription order or service agreement. Planned or emergency downtime may occur for operational, security, or provider-related reasons.

10. Customizations and updates

Nadhim, its components, interface, or extensions may be updated to improve performance, security, compliance, or ERPNext compatibility. Customer-specific customization requires separate scope, pricing, and acceptance unless included in the package.

11. Termination and data export

When a subscription ends, the customer may request export of its data in the format, period, and fees agreed. After the agreed retention period, data may be deleted or destroyed according to the privacy policy and legal obligations.

12. Disclaimer and reliance limits

IMEXUM provides Nadhim as an operations, automation, and reporting system. Under these terms, IMEXUM does not provide legal advice, tax advice, or statutory audit services. The customer must review reports, settings, and journal entries before relying on them for regulatory filings or material decisions.

13. Governing law

These terms are governed by the laws of the Kingdom of Saudi Arabia unless a separate written agreement states otherwise.
